Associate General Counsel II
The candidate will be responsible for the legal affairs for the business line that provides various commercial equipment leasing, term financing, flooring and borrowing base products and financing of software and soft costs for small-ticket to large-ticket businesses and state and local governments nationwide. Provides advice, guidance and counsel on a wide variety of legal matters, strategies, structures, risks and problems involving EF and its 11 sub-business lines and numerous operations groups. Assists business line executive, senior and middle management in: strategizing regarding processes, guidelines and policies that are appropriate to protect Bank; development, preparation, review, negotiation and safeguarding of all documentation provided by multiple delivery channels and used in the conduct of business activities; identification of risks and potential legal mitigants for such risks; developing and maintaining relationships with outside counsel to provide high quality, cost-efficient legal services; and advising on all stages and structures of business transactions and programs. Will be actively involved in the equipment leasing and finance industry to identify emerging issues and trends, to monitor proposed legislation and discern best practices, and to ensure that EF Legal participates in EF's trade associations. Areas of support span a wide variety of legal issues that are often complex, and are subject to significant risk and audit scrutiny. Confers with senior management, staff and other legal counsel on a variety of legal matters. Manages the EF Legal Department, which includes attorneys and paralegals in several locations. Drafts, reviews, revises and negotiates a variety of documents involving the company's interests or the interests of customers, vendors or other sources. Works with management and professional staff to develop and modify practices and procedures to conform to legal requirements. Keeps informed of legislation (including proposed legislation) and relevant case law affecting various company operations. Manages relationships with outside counsel who work directly with business lines.Estimated Salary: $20 to $28 per hour based on qualifications.
